1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of OptiSizer, a software service operated by Haymor Technologies ("OptiSizer", "we", "us", "our"), available at app.optisizer.co and optisizer.co (together, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy below. If you do not agree, do not use the Service.

2. The Service

OptiSizer is a cloud-based tool that uses machine learning to detect, segment, and measure objects (such as droplets and spheroids) in microscopy images. Access is granted on an invite or approval basis and, where applicable, via a subscription using a token-based credit system.

3. Eligibility & Accounts

You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity under your account. We may suspend or terminate accounts that are inactive, fraudulent, or in breach of these Terms.

4. Subscriptions, Tokens & Payment

Where the Service is offered on a paid basis, each plan includes a defined number of analysis tokens per billing period, consumed as you submit jobs. Unused tokens may roll over as described in your plan. Tokens have no cash value and are non-refundable except as required by law.

5. Your Content and Data

"Your Content" means the images, files, annotations, and other material you upload or generate using the Service. You retain ownership of Your Content. By using the Service, you grant OptiSizer a worldwide, non-exclusive, royalty-free licence to host, store, process, and analyse Your Content solely to provide and support the Service to you.

Model training and product improvement. When you create an account, you separately and explicitly consent to OptiSizer using Your Content — including uploaded images, manual box/mask corrections made in OptiSizer Studio, and de-identified usage and performance data — to train, fine-tune, evaluate, and improve OptiSizer's detection, segmentation, and measurement models, and to develop new features. This consent is given at signup, is recorded against your account, and can be withdrawn at any time by contacting hello@optisizer.co — withdrawal does not affect training already completed using your data before that point, and does not affect your ability to keep using the Service.
Marketing. With the same signup consent, we may use your email address to send you product updates, feature announcements, and occasional marketing communications, and may use aggregated or de-identified usage statistics in marketing materials. We will never publish Your Content (e.g. your images or results) or identify you personally in public marketing without asking you separately first. You can opt out of marketing emails at any time via the unsubscribe link in any such email, or by contacting hello@optisizer.co.

6. Acceptable Use

You agree to use the Service only for lawful research and commercial purposes. You must not attempt to reverse-engineer the underlying models, resell or sublicense access without our written consent, upload content that infringes third-party rights, or attempt to disrupt or gain unauthorised access to the Service.

7. Intellectual Property

OptiSizer and its underlying software, models, and branding are owned by Haymor Technologies. Nothing in these Terms transfers any of our intellectual property to you, except the limited right to use the Service as described here.

8. Confidentiality

We treat Your Content as confidential and will not disclose it to third parties except: (a) to service providers who process it on our behalf under contractual confidentiality obligations (see our Privacy Policy), (b) as permitted under the training and marketing consent above, or (c) where required by law.

9. Disclaimers

The Service is provided "as is" and "as available." While we aim for high accuracy, OptiSizer's outputs are intended to assist, not replace, expert scientific judgement, and we make no warranty of fitness for any particular regulatory, clinical, or safety-critical purpose.

10. Limitation of Liability

To the fullest extent permitted by law, our total liability arising from your use of the Service is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate your account for breach of these Terms, non-payment, or extended inactivity, with notice where reasonably practicable.

12. Changes to These Terms

We may update these Terms from time to time. For material changes we will provide reasonable notice (e.g. by email or an in-app notice). Continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

Privacy Policy

1. Who We Are

OptiSizer is operated by Haymor Technologies. For any privacy query, contact hello@optisizer.co.

2. What We Collect

  • Account information: name, email address, organisation (optional).
  • Microscopy images and files you upload for analysis, and any manual box/mask corrections you make.
  • Analysis results and measurements generated by the Service.
  • Usage data: job submissions, feature usage, login timestamps, and device/browser metadata.
  • Payment information, where applicable, processed by our payment provider — we do not store full card details.

3. How We Use Your Data

We use your data to: provide and operate the Service; send transactional emails (account approval, invites, password resets, job-complete notifications); respond to support requests; and maintain security. Where you've given consent at signup, we additionally use your data to:

  • Train and improve our models — uploaded images, corrections, and de-identified usage/performance data may be used to train, fine-tune, and evaluate OptiSizer's detection, segmentation, and measurement models.
  • Marketing — your email may be used for product updates and marketing communications; aggregated or de-identified usage statistics may be used in marketing materials.

We do not sell your data to third parties.

4. Legal Basis (UK GDPR)

We process your data on the basis of: contract performance (to provide the Service you signed up for); consent (for model-training use of Your Content and for marketing communications, given explicitly at signup and revocable at any time); legitimate interests (security, fraud prevention, improving core service reliability); and legal obligation (tax, regulatory compliance).

5. Data Retention

Account data is retained for as long as your account is active, and for up to 7 years thereafter for tax and legal purposes. Uploaded images and results are retained for 90 days after a job completes, after which they are automatically deleted, unless retained for longer as part of model training you've consented to. You may request earlier deletion of your images by contacting us.

6. Third-Party Processors

We use the following processors to operate the Service, each under appropriate data processing terms: Cloudflare R2 (file storage), RunPod (model inference infrastructure), Railway (application hosting and database), and Resend (transactional email delivery). Where a processor is located outside the UK/EEA, transfers are made under appropriate safeguards.

7. Cookies

We use strictly necessary cookies for session management and security. We do not use third-party advertising or tracking cookies.

8. Your Rights

Under UK GDPR you have the right to: access, rectify, erase, or restrict processing of your data; receive your data in a portable format; object to processing; and withdraw consent (for model-training or marketing use) at any time without affecting the lawfulness of processing before withdrawal. 9. Data Security

We use industry-standard measures — encrypted storage and transport, access controls, and least-privilege service credentials — to protect your data. No system is completely secure, and we encourage you to use a strong, unique password.

10. Children's Privacy

The Service is intended for professional and academic research use and is not directed at children. We do not knowingly collect data from anyone under 16.
